Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the VDC.cloud website, products, and services. By accessing our website or purchasing our services, you agree to be bound by these Terms. Some services such as Microsoft 365 business licenses and support are governed by additional terms for you to review separately.
1. Definitions
- "VDC.cloud", "we", "our", "us" - Refers to VDC.cloud Professional Services Ltd and VDC.cloud Professional Services Asia Pte. Ltd.
- "Client", "you", "your" - Refers to the entity purchasing or using our business services.
- "Services" - Includes cloud consultancy, Microsoft 365 licensing guidance, 24/7 support, cloud network security services, and all other services provided by VDC.cloud.
2. Use of Services
- You agree to use our services only for lawful purposes and in accordance with these Terms.
- You are responsible for maintaining the confidentiality of any login credentials provided.
- You must not use our services in a way that disrupts or harms our infrastructure or other clients.
3. Service Provision
VDC.cloud provides tailored cloud consultancy and managed support services, including but not limited to:
- Multi-Cloud Network & Security design and deployment
- Zero Trust segmentation and monitoring
- Artificial Intelligence (AI) strategy in cloud environments
- Microsoft 365 licensing and helpdesk support
All service engagements are subject to a formal agreement or service contract.
4. Intellectual Property
- All content, tools, reports, and materials provided by VDC.cloud remain the intellectual property of VDC.cloud unless otherwise agreed in writing.
- Clients are granted a non-exclusive, non-transferable right to use such materials for internal business purposes only.
5. Payment and Billing
- Fees for services will be outlined in a proposal or service agreement.
- Invoices are payable within 14 days unless stated otherwise.
- Late payments may incur interest or service suspension.
6. Termination
- Either party may terminate a service agreement by providing written notice, subject to the terms of the specific contract.
- Upon termination, all outstanding fees become immediately due.
- Data access and transfer rights post-termination will be handled in accordance with the specific service agreement.
7. Limitation of Liability
- VDC.cloud shall not be liable for indirect, incidental, or consequential damages.
- Our liability for any claim shall not exceed the amount paid for the service in question.
8. Confidentiality
- Both parties agree to maintain confidentiality regarding proprietary or sensitive information exchanged during service delivery.
9. Privacy
- VDC.cloud handles client data in accordance with our Privacy Policy, available at https://vdc.cloud/privacy.
10. Governing Law
- These Terms are governed by and construed in accordance with the laws of the England and Wales.
- Any disputes shall be resolved in the courts of England and Wales.
11. Changes to Terms
VDC.cloud reserves the right to update these Terms at any time. Continued use of our services after changes have been posted constitutes your acceptance of the new Terms.
