1. Services

VDC.cloud agrees to provide the Client with the NINJIO cybersecurity awareness services on a month-to-month basis. This includes access to cybersecurity microlessons on best practices, risk management, and related topics. All services are licensed and governed by NINJIO’s Subscription and License Terms: https://ninjio.com/subscription-and-license-agreement/.

2. Fees & Payment

• Monthly Fee: Please refer to the online ordering page.
• Payment Due Date: On or before the first day of each month.
• Payment Method: Stripe or Bank transfer

3. Term & Cancellation

This is a month-to-month agreement beginning on the Effective Date. Either party may terminate the Agreement by providing 30 days’ written notice. Service remains active through the end of the final billing cycle.

4. Auto-Renewal

This Agreement will automatically renew monthly unless terminated in accordance with Section 3.

5. Client’s Obligations

Client agrees to fully comply with NINJIO’s Subscription and License Terms: https://ninjio.com/subscription-and-license-agreement/.

These terms apply to all users accessing the NINJIO service under this agreement. Client shall ensure all authorised users also comply.

6. Modifications

VDC.cloud reserves the right to modify this Agreement or its pricing with 30 days’ written notice. Continued use of the Service after such notice constitutes acceptance.

7. Limitation of Liability

In no event shall either party be liable for indirect, incidental, special, or consequential damages. Maximum liability shall not exceed the total monthly fees paid in the three months preceding any claim.

8. Governing Law

This Agreement shall be governed by English law.

9. Acceptance of Terms

By subscribing to the Service, the Client affirms acceptance of this Agreement and automatically agrees to be bound by NINJIO’s Subscription and License Terms - https://ninjio.com/subscription-and-license-agreement/.

Disclaimer: Subscription or use of the Service constitutes electronic acceptance of this Agreement and Island’s legal terms, including future updates.

10. Entire Agreement

This Agreement, along with Island’s referenced legal documents, constitutes the entire understanding between the Provider and Client and supersedes any prior agreements or communications.
